A foreign holding above a Spanish SL: when it helps, when not
A foreign company above a Spanish SL does not lower tax by default. The dividend withholding exemption depends on country, stake and substance, and does not apply when a property SL is sold.
A foreign holding above a Spanish SL is a structure in which the shares of the SL that owns property belong to a company outside Spain, which in turn belongs to the investor. By itself it does not change the Spanish rules: dividends from the SL to a non-resident are taxed at 19% (art. 25.1.f TRLIRNR), both for an individual directly and for a company. Differences appear in three places: the exemption for an EU parent company, the rate under a double tax treaty, and the bank's questions about the ultimate beneficial owner. What follows describes rules, not schemes: what to choose is for the asesor fiscal (tax adviser) to decide.
How much does Spain withhold from dividends that the SL pays to the holding?
The rate depends on the holding's country and on whether it qualifies for the exemption.
| Dividend recipient | What the rule says | Source |
|---|---|---|
| Individual or non-resident company with no relief | 19% | art. 25.1.f TRLIRNR |
| EU parent company | Exemption if the conditions of art. 14.1.h are met | TRLIRNR |
| Resident of a treaty country | Treaty cap, usually 15% | AEAT |
Conditions of art. 14.1.h: a stake of at least 5%, held continuously for the year before the payment; both companies subject to corporate income tax without exemption; the payment not linked to the liquidation of the SL; and a company form listed in the annex to Directive 2011/96/UE. There is also a limitation: if the majority of the parent's voting rights are held, directly or indirectly, by persons outside the EU and the EEA, the exemption does not apply, unless its creation and activity are explained by "motivos económicos válidos y razones empresariales sustantivas" (valid economic reasons and substantive business purposes). In practice this asks whether the holding has real activity, not just an account and a postal address. The list of treaties is published on the AEAT page; the applicable rate is confirmed in the text of the specific treaty. The comparison with holding the stake directly is covered in the article on dividends to a non-resident.
What does not change when you exit by selling the SL?
The tax on the gain. A non-resident pays 19% on the gain from selling assets, including shares (art. 25.1.f TRLIRNR). The exemption for EU and EEA residents under art. 14.1.c does not apply to shares in a company whose assets consist mainly of real estate in Spain. An SL that owns a villa is exactly that. The holding does not help here, and it is worth asking the asesor fiscal before the structure is set up, not after.
What other rules are checked in such a structure?
- Loans from the holding. Transactions between a company and a shareholder with a stake of 25% or more are valued at market price (art. 18 LIS), and net financial expenses are deductible up to 30% of operating profit, with 1 M€ deductible in any case (art. 16 LIS).
- Tax havens and non-cooperative jurisdictions. Expenses for services from persons in tax havens are not deductible unless it is proved that the service was rendered (art. 15.g LIS). If the property is owned directly by a company from such a jurisdiction, a special levy of 3% of the cadastral value applies (arts. 40 to 43 TRLIRNR); among the exceptions in art. 42 are companies that continuously carry on in Spain an economic activity other than mere ownership or letting of the property. The list of non-cooperative jurisdictions was changed by Orden HAC/649/2026: from 28 June 2026 six entries are removed, and from 28 December 2026 the Russian regime for international holding companies is added. For taxes whose period had not ended by those dates, the transitional rule keeps the previous list; how this affects a particular structure is for the asesor fiscal to clarify.
- Declaration to the Registro de Inversiones. A contribution of 10% or more by a foreign company to the capital of the SL is declared within one month; details are in the article on the foreign investment declaration.
- The bank. The bank must identify the beneficial owner, meaning the individual with more than 25% of the shares or votes, and may not continue the relationship if it cannot establish the ownership structure (art. 4 Ley 10/2010). What banks ask for is described in the article on an SL bank account for a non-resident.
How much is withheld on one dividend?
A worked example, not a forecast. The SL pays the holding 1 M€. Taxes in the holding's country and the later transfer of money to the owner are not included.
| Variant | Withholding in Spain |
|---|---|
| Neither exemption nor reduced rate | 190 000 € (19%) |
| Treaty with a 15% cap | 150 000 € |
| EU parent company, conditions of art. 14.1.h met | 0 € |
Between the extremes the difference is 190 000 €, so the question is not whether a holding exists but whether that specific company meets the conditions. Another layer of tax arises in the holding's country.
Who is this structure not for?
Anyone who wants to cut tax through a formal company with no staff, no office and no decisions taken on the ground: this is exactly what the "substantive business purposes" clause tests. Anyone planning to exit by selling an SL that holds one villa and counting on the exemption. Anyone whose bank is not ready to accept a chain of several jurisdictions. The article contains no tax minimisation schemes.
Questions for the asesor fiscal to prepare before the meeting: what is the treaty rate with my country and who is the beneficial recipient; does the holding meet art. 14.1.h; what happens when the SL is sold; who pays tax on the dividend in the holding's country. The general tax map is on the page about foreign investor taxes, and when an SL is needed at all is covered in the article through an SL or personally.
Questions and answers
Does a foreign holding lower the tax on dividends from a Spanish SL?
Not by itself. The basic rate of 19% is the same for an individual non-resident and for a company. A reduction comes from the art. 14.1.h exemption for an EU parent company or from the treaty cap, if the conditions are met.
Does a holding help when selling a Spanish SL that owns property?
No, if the SL's assets consist mainly of Spanish real estate: the art. 14.1.c exemption for EU and EEA residents does not apply to such shares. The non-resident pays 19% on the gain.
What does "real activity" of a holding mean?
The law words it as "motivos económicos válidos y razones empresariales sustantivas" and applies it to a parent company whose votes are controlled by persons outside the EU and the EEA. How to prove it is for the asesor fiscal to decide on the facts of the company.
What will the bank ask of a structure with a foreign holding?
The ultimate beneficial owner with more than 25% of shares or votes, and documents for each link in the chain. If the structure cannot be established, the bank must by law not continue the relationship.
