When to walk away from buying a flat: red flags and the cost of exit
Walking away costs different amounts before the reserva, after the arras and at the notary. Red flags, a cost-of-exit table by stage and a worked calculation: when leaving beats staying.
Walking away from buying a flat makes sense when the price is not confirmed by transactions, the documents or the building leave questions unanswered, and financing is not confirmed. It is cheapest to leave before the arras contract: after it, a buyer with arras penitenciales (a deposit with a right to withdraw) loses the whole sum, and without such a clause there is no free exit (art. 621-8 CCCat, the Civil Code of Catalonia). A mistake can cost more than the deposit: the flat answers to the comunidad de propietarios (homeowners' association) for debts for the current year and the four previous ones.
Why walking away is a normal outcome of due diligence
A check that cannot end in "no" checks nothing. A red flag is a fact that changes the price or the risk of the deal by more than the seller is ready to compensate. If one is found before signing, the buyer has three paths: revise the price, close the issue in writing in the contract, or leave.
For an investor the same principle works through scenarios: if a project does not survive the worst case, it is not discussed. The method is described in the article on investor risks and scenario analysis. This article is about buying a flat and about the stage at which stopping is cheapest.
What walking away costs at each stage of the deal
The cost of exit grows with every document signed. The table shows what changes by default under Catalan law, if the contract does not say otherwise.
| Stage | What is already signed | Default cost of exit | What to check before moving on |
|---|---|---|---|
| Negotiation | Nothing | 0 € | Price against comparable transactions |
| Reserva (reservation) | A reservation with a small sum | As written in the reservation form | Terms for returning the reservation |
| Arras penitenciales | A deposit with a right to withdraw | The whole deposit | Type of arras, credit condition, floor area |
| Arras with no type stated | A deposit as part of the price | No free exit, a dispute over performance | The same, before signing |
| Before the escritura (deed) | Everything above | As with arras, plus time | Comunidad certificate, nota simple, cédula |
Provisions: art. 621-8 and 621-49 CCCat, art. 553-5 CCCat. How the types of deposit differ and which clauses to go through with a lawyer is described in the article on the arras contract.
Which signals require you to stop
A red flag differs from a flaw in that it has no answer before signing. Each point below is either closed with a document or stops the deal.
- The price is not confirmed by transactions. Listings next door are not evidence. If the seller cannot explain the gap to closed transactions and is not ready to discuss it, that is a reason to get an independent valuation and revise the offer.
- The nota simple (land registry extract) does not match what is being sold. The owner on the register is not the seller, there is an attachment or third-party rights. The nota simple only informs; the certificación gives legal force (Colegio de Registradores), so disputed entries are handled by an abogado (lawyer).
- There is no valid cédula de habitabilidad (habitability certificate). In Catalonia a home must have one at the time of handover, and for existing flats it is valid for 15 years (Decret 141/2012).
- The seller does not provide the comunidad certificate. Under art. 553-5 CCCat the certificate shows debts and payments already approved but not yet due, including derramas (special levies). The escritura is not signed without it unless the parties expressly waive it. More in the article on the previous owner's debts.
- The floor area is noticeably smaller than advertised. By default a difference of up to 10% gives no right to a claim if the area was not a condition of the deal (art. 621-50 CCCat). If the square metres matter, they are fixed in the contract.
- Financing is not confirmed and the deposit is demanded now. Without a credit condition, a bank's refusal does not release the buyer from losing the deposit.
- Pressure and changing terms. "The deposit is needed today", a new sum or a new date after agreement.
When leaving is cheaper than staying: a worked example
Worked example, not a forecast. A flat for 500,000 €, arras penitenciales of 50,000 € signed. After signing it turns out that a derrama for the facade has been approved in the building, with the flat's share at 25,000 €, and that the price is about 40,000 € above comparable transactions. The seller refuses to revise the price.
| Option | Calculation | Result |
|---|---|---|
| Stay | 25,000 € derrama + 40,000 € overpayment | minus 65,000 € against the cost of the purchase |
| Leave | loss of the deposit | minus 50,000 € |
| If the check had been done before the arras | price revision or walking away | 0 € of losses on exit |
The arithmetic here is simple, the decision is not: the overpayment is not lost at once, but the deposit is. Still, the example shows the main point: the same checks before signing would have cost a few weeks, not 50,000 €.
When walking away does not work as protection
Walking away does not help if the money has gone out without a contract describing the exit. A transfer "for the reservation" arranged by messages, a deposit with no type stated, or a credit condition excluded by a general phrase leave the buyer without a clear way back.
Walking away is also no tool for haggling. The threat to leave works only if the buyer is really ready to leave and has an alternative. If there is no alternative, it is more sensible to decide in advance which price and terms are acceptable than to bluff after signing.
Questions and answers
Can I walk away from buying a flat after signing the arras?
Yes, if the deposit is penitential: the buyer loses it, and if the seller withdraws, the seller returns it doubled. If the type is not stated, in Catalonia it counts as part of the price and there is no free exit. A lawyer assesses the specific text.
Is the deposit returned if the bank does not grant the mortgage?
It is, if the contract provides for bank financing, that right is not excluded, and the bank's refusal is documented within the agreed period and not caused by the buyer's negligence.
How do I know a flat is not worth buying?
When a key question about the price, the documents or the building has no answer before signing and the seller is rushing. Each such question has to be closed with a document, not with a promise to "sort it out at the notary".
What should I do if debts to the comunidad turn up after the arras?
The flat answers for the debts of previous owners for the current year and the four before, and the seller answers for their own debt as of the date of sale. So the debt is paid off before the escritura or withheld from the price; this is decided with an abogado.
Is it too late to walk away if we already agreed verbally?
Before documents are signed and money is transferred, leaving is easiest. If something has already been signed or transferred, show the documents to a lawyer before deciding.
