Three ways in with a 1–5 M€ ticket: JV, closed fund, crowdfunding

A ticket from 1 M€ can go into a direct JV, a closed-ended fund or crowdfunding. A comparison based on terms published by the fund and by Urbanitae and Fellow Funders on 13.10.2026.

For a 1–5 M€ ticket in Barcelona development there are three formats: direct participation in a project (JV), a place in a closed-ended fund, and crowdfunding. They differ in threshold, investor status, term and in what exactly you receive. A direct JV (joint venture) is the investor's participation in a specific project under a contract with the operator. The terms below come from public pages as of 13.10.2026: the FAQ of a Luxembourg closed-ended real estate fund and the home pages of Urbanitae and Fellow Funders. These are terms stated by the platforms themselves, not verified information and not a recommendation; the legal classification of any format is determined by an abogado.

How do the three formats differ in terms?

The table has no single "best" column: the formats answer different questions.

What does a direct JV offer and what does it require?

A direct JV gives access to a specific property, but the whole ticket sits in one project. DNPI's fee model: DNPI's fee is 50% of project profit, and the other half stays with the investor. If the investor's return over the whole project after distribution is below the contractual 10%, DNPI pays compensation out of its own fee. This is a return per project, not annual; the terms, the calculation base and the limits are set by the contract for the specific project, and it is not a guarantee of capital preservation. More detail: how DNPI's fee works and project agreement, questions for the lawyer.

A separate question for the abogado: if the operator raises money from the public and the result depends on the common return, the structure may fall under the definition of an IIC (collective investment institution, art. 1 of Ley 35/2003). The article does not classify any operator's structure, DNPI included. On the boundary: IIC, EAFI and crowdfunding.

What does a place in a closed-ended fund offer?

A fund offers a ready structure and a manager, but limits access by status and term. The example fund says the vehicle is closed, 5 years extendable by another 5, and that private credit has liquidity windows every 3 years with 6 months' notice. In the legal notice on its website the fund states that it places products in Luxembourg by private placement and sells in Spain only through reverse solicitation (at the investor's own initiative). Thresholds and status are covered in the article on the 500 000 € threshold and the qualified investor.

What does crowdfunding offer and where is its limit?

Crowdfunding offers a low threshold and a wide choice of projects. On 13.10.2026 Urbanitae writes "from €500" and projects "up to 5 M€"; Fellow Funders sets a minimum of 1 000 € per project and a fee paid only by the developer. The platforms are CNMV-authorised, but the projects on them are not supervised: Urbanitae itself says the investor may lose capital in whole or in part.

For a 1–5 M€ ticket there is an arithmetic limit. In its press release of 22.06.2026, Fellow Funders gives an amount from investors of 4,32 M€ for the Sant Joan Despí Fase II project. A 1 M€ ticket would be 23% of that offer, and a 5 M€ ticket would exceed it. Under the preamble of Ley 18/2022, Regulation 2020/1503 does not apply to platforms that intermediate only offers above 5 M€. A retail investor who exceeds the per-project limit (the greater of 1 000 € or 5% of wealth excluding property and pension funds) receives a risk warning and confirms consent explicitly.

How can a ticket be split across the three formats?

Worked example, not a forecast and not a recommendation. A 1 M€ ticket gives: one position in a direct JV; two positions of 500 000 € in a closed-ended fund if admitted by status; up to 1 000 positions of 1 000 € in crowdfunding, though each is limited by project and term. Diversification increases from left to right, while the information available on each project per euro invested decreases. Which combination suits depends on goal, term and tax structure, and that decision is made together with the asesor fiscal (tax adviser).

Who is each format not for?

A JV does not suit someone who needs to spread capital across ten projects and exit within 12 months. A fund does not suit someone without professional client status, or someone not ready to leave the money for 5–10 years. Crowdfunding does not suit someone who needs a single large project with control over the ownership structure: a 1–5 M€ ticket runs into the size of the offer. For a comparison with comparable return figures: return benchmarks in open data. How participation in DNPI projects works is described on the approach page.

Questions and answers

Which entry format suits a 1–5 M€ ticket?

There is no single answer; it depends on goal, term and status. A direct JV suits participation in one project, a fund suits a ready structure if you have the status, crowdfunding suits small stakes. The decision is made together with the abogado and the asesor fiscal.

Can 1 M€ be invested through crowdfunding?

Formally the ticket can be split across many projects, but each offer is limited: Urbanitae speaks of projects up to 5 M€, and in the Fellow Funders example the offer to investors was 4,32 M€. A large ticket in one project runs into the size of the offer.

Is professional investor status needed to enter a fund?

It depends on the fund. The example fund states access only for qualified investors under MiFID II and a ticket of 500 000 €. Other funds have other terms, which are read in the fund's documents.

How does a direct JV differ from a fund in law?

The law assesses a structure by its features: from whom money is raised, how the result is shared, which services are provided. The name of the format plays no role. It is a question for the abogado based on the documents of the specific offer.

Where can I see the real terms rather than advertising?

In the contract, the prospectus or the key information document, and in the CNMV registers. Platform and fund pages give guidance, but the project documents are what carry legal weight.
