The 500 000 € threshold in closed funds and the qualified investor
The 500 000 € minimum ticket in a closed-ended fund is set by the fund, not by Spanish law. A reading of qualified investor status under MiFID II and of the legal figures.
The 500 000 € minimum ticket published by some closed-ended real estate funds is set by the fund itself: the texts of Ley 22/2014, Ley 6/2023 and Regulation (EU) 2017/1129 that I reviewed contain no such minimum investment. For example, one Luxembourg closed-ended real estate fund states on its FAQ page, as of 13.10.2026, a minimum ticket of 500 000 € and access only for "Qualified Investors under MiFID II". A qualified investor is, under art. 2(e) of Regulation 2017/1129, a person in the professional client categories of Annex II to MiFID II, or a person who has been recognised as a professional client at their own request. The article is a reference to primary sources and does not assess any specific fund or your situation.
What does the fund say about the threshold and status?
The same fund states as of 13.10.2026: the 500 000 € ticket is the same for private equity and private credit; access is only for qualified investors; individuals and legal entities may invest, including holdings, family offices and family companies. Private equity is structured as a closed vehicle for 5 years with an extension of another 5, and in private credit liquidity windows open every 3 years with 6 months' notice. The return is described as a target, and the fund warns that the target may not be met.
The legal notice on the same page says the fund is managed from Luxembourg, operates as an AIF and places its products by private placement, and that in Spain it sells only at the investor's own initiative (reverse solicitation). In another open file of the same fund, on the same date, the minimum is 250 000 €. Which figure applies should be confirmed with the fund in writing.
Who is a qualified investor under the text of the law?
Annex II to Directive 2014/65/EU (MiFID II, Official Journal version of 12.06.2014; the current consolidation should be checked) distinguishes two groups. In the first, clients are professional automatically: banks, investment firms, insurers, investment institutions, states and large undertakings. A large undertaking must meet two of three conditions: balance sheet of 20 M€, turnover of 40 M€, own funds of 2 M€.
In the second group, a client can become professional on request, including a private investor. The firm must assess the client's experience and knowledge and verify at least two of three criteria: ten significant transactions per quarter over four quarters, a portfolio of cash deposits and financial instruments above 500 000 €, one year in a professional position in the financial sector. The client submits a written request and a separate statement that they understand the loss of protection. The annex states expressly that such a client is not presumed to have experience comparable to the first group.
In Spain the same client classes are set by arts. 192–195 of Ley 6/2023: retail, professional and eligible counterparties. The law leaves the list of professional client types to regulation.
Which figures does the law itself give?
| Figure | Where | What it means |
|---|---|---|
| 100 000 € | art. 75.2.a Ley 22/2014 | A Spanish ECR (entidad de capital-riesgo, venture capital entity) may be offered to a non-professional investor who commits to invest at least 100 000 € and states in writing that they understand the risks |
| 10 000 € and 10% | art. 75.2.b of the same article | Route through an intermediary's personal recommendation: with financial wealth of up to 500 000 €, an investment from 10 000 € and no more than 10% of that wealth |
| 100 000 € and 150 persons | art. 1.4 of Regulation 2017/1129 | Exemptions from the obligation to publish a prospectus |
| 500 000 € | Annex II to MiFID II | One of the portfolio criteria for recognition as a professional on request |
| 500 000 € | FAQ of a closed-ended fund, 13.10.2026 | The minimum ticket of one specific fund, not a rule of law |
Art. 75.2 of Ley 22/2014 was amended by Ley 18/2022, which added the recommendation route. The match of 500 000 € in two rows is coincidental in meaning: one figure describes the client's portfolio as a status criterion, the other the size of the investment in the fund. Whether the fund links them, it does not say.
Why is the ticket higher than in the law?
The fund does not disclose its reasons, so this is not a conclusion but what the documents show. To enter such a vehicle, both things are needed together: status and ticket. For a Spanish ECR, the law requires either the status or a lower threshold. The fund's ticket is five times the 100 000 € level in Ley 22/2014, and the term, 5 years extendable to 10, makes the investment locked in.
Worked example, not a forecast. A 500 000 € ticket in a closed vehicle for 5+5 years is 25% of a 2 M€ portfolio and 10% of a 5 M€ one. This is concentration arithmetic: the money in such a position is unavailable until the end of the term unless the vehicle provides for early exit. For comparison, on the recommendation route in art. 75.2.b the law caps the share at 10% of wealth.
Who do the threshold and status not suit?
Someone without the status who does not want to apply for professional client classification: that investor loses the protection provided for retail clients. Someone who may need the money sooner than 5 years. And someone not ready for a single large position without diversification. Related topics: minimum investment amount, goal, term, liquidity and the boundary of regulated activity.
Which status you have and what giving up retail client protection means is determined by the abogado from your documents. To compare the closed-ended fund format with others, see the article on the three entry formats.
Questions and answers
Who is a qualified investor in Spain?
A person whom Regulation 2017/1129 treats as a professional client: from the list of categories in Annex II to MiFID II, or recognised as professional at their own request. The status is confirmed by the investment firm, not by the investor.
Is 500 000 € in an account enough to become a professional client?
No. A portfolio above 500 000 € is only one of three criteria, two must be met, and the firm must assess experience and knowledge. The client then submits the written statements.
Does the law require a 500 000 € minimum ticket in a real estate fund?
That figure does not appear in the texts reviewed. The laws mention 100 000 € and 10 000 € for different routes. The 500 000 € ticket is set by the fund itself.
What if different fund documents show different minimum tickets?
Treat as valid only what the subscription documents say, and confirm the figure with the fund in writing. In the open materials of one fund on 13.10.2026 the minimum appears two ways: 500 000 € and 250 000 €.
Can a non-professional investor enter a closed-ended fund?
In a Spanish ECR, under art. 75.2 of Ley 22/2014, yes, if they invest from 100 000 € and sign the statement, or come through the intermediary recommendation route. Foreign vehicles follow other rules, and that is a question for the abogado.
