Passive Participation or Running the Project Yourself: Which to Choose

Passive participation means an operator runs the project, and your control lives in the contract and reports. Running it yourself keeps all the profit with you and makes you the client.

Passive participation suits someone who has capital but no time and no team in Barcelona: an operator runs the purchase, renovation and sale, and the investor's control moves into the contract and the reporting. Running the project yourself leaves the whole profit with you but makes you the client of the works, with all the obligations that brings. Here "passive" means "I do not do it myself", not "I do not control it".

Who does what in each format

TaskRunning it yourselfPassive participation
Finding the property and negotiatingyou or your agentthe operator
Checking the property: nota simple, technical report, planning parametersyour abogado (lawyer) and a technical specialistthe operator; you receive the document package and can pass it to your own lawyer
Signing the escritura (the deed of sale)you or a representative under a poder notarial (notarial power of attorney)by contract, depends on in whose name the property is held
Licences and the contractoryou, as the clientthe operator
Budget control and acceptance of worksyouthe operator reports; changes are approved under the contract
Saleyouthe operator, on the contract terms: price, timing, who decides
Taxesyour returnsdepends on the structure, a question for an asesor fiscal (tax adviser)

The row on how the property is held decides a lot: it determines what the nota simple (the registry extract on a property) will show and what happens if the operator runs into trouble. There is a separate article on this, about who owns the property in a joint project.

What changes legally if you run the project yourself

In legal terms you become the promotor. Under art. 9 of the Ley de Ordenación de la Edificación (LOE, the Building Act), that is the name for anyone who decides, programmes and finances works for themselves or for later sale. The promotor's duties are to obtain licences and permits, sign the certificate of acceptance of the works and arrange the insurance guarantees under art. 19.

These rules do not apply to every renovation. The LOE covers new construction, full reconstruction, partial interventions that substantially change a building's external appearance, volume or load-bearing system, and a change of its characteristic use (art. 2.2). In Catalonia such works generally require a licencia urbanística (planning licence), with exceptions under art. 187 ter, and so do converting a building to residential use and its first occupation (art. 187 of the Llei d'urbanisme). Whether your renovation falls under the LOE is for an architect to say before you buy. The ten-year structural guarantee is, as a rule, mandatory for buildings whose main use is housing; details are in the article on the seguro decenal (ten-year structural insurance).

In the passive format, the promotor role belongs to whoever decides on and finances the works. The contract should say who that is, who signs the certificate of acceptance and who answers to you for the licences.

Where a passive investor keeps control

Control does not disappear; it is written into the contract. The minimum set:

  1. Access to documents: the estimate, the contract with the contractor, licences, payment documents.
  2. An approval threshold: a budget change above an agreed sum only with your written signature.
  3. The movement of money: to which account payments go and who signs them.
  4. Terms of sale: the minimum price, the timing, who decides if there are no offers.
  5. Exit: what happens if you want to leave before the end of the project.

An investor has no standard set of rights: what is not in the contract you will not get. More on which decisions stay with the investor in the article on management decisions and investor rights.

In the DNPI model the company runs the full cycle: property search, economics, purchase, legal support, renovation or development, and sale. The renovation is carried out by BCNYARD, SLU, an independent construction company working as a contractor under a contract. The investor gets a digital account with the budget and the status of the works; the format is described in the article on reporting to the investor. DNPI's fee is 50% of project profit. If the investor's return over the whole project, after distribution, falls below the contractual 10%, DNPI pays compensation out of its own fee. This is a return for the project, not an annual one; the terms and the calculation base are set by the contract for the specific project, and this is not a guarantee of capital.

What delegating costs: a worked example

A worked example, not a forecast and not a DNPI project. Project profit before distribution is €200,000. Assumption: in the self-managed format you spend another €15,000 on management (a lawyer, a technical specialist, travel).

LineRunning it yourselfInvestor buys, DNPI's fee is 50% of profit
Project profit before distribution€200,000€200,000
Your extra management costs€15,000€0
Your share€185,000€100,000

The difference of €85,000 is the price of delegation. For it you get someone else's time, a team, access to properties and a transfer of responsibility for how the works go. The example compares only the distribution of profit: it ignores taxes, financing, the operator's own contribution and differences in quality of execution. A mistake in the estimate reduces profit in either format, and in the self-managed one you bear all of it. Whether that is worth €85,000 depends on how you value your own time and the risk of mistakes.

Who each format does not suit

Running it yourself does not suit you if you do not live in Barcelona and are not ready to entrust the signing and the supervision of works to a representative. It also does not suit someone who has never commissioned a renovation in Spain: the first project would become a lesson at your expense.

Passive participation does not suit you if you want to choose the contractor and the finishes yourself. It also does not suit someone who is not ready to read a contract: without that, "passive" turns into blind trust.

A separate question for an abogado: if an operator raises money from the public and each person's return depends on the common result, the structure may fall within the definition of collective investment institutions (IIC) in art. 1 of Ley 35/2003. That is a definition in the law, not a conclusion about any particular project.

You can sketch your own option in the investor calculator.

Questions and answers

Can I be a passive investor and still control the budget?

Yes, if the control is written into the contract: a right to documents, an approval threshold for changes, regular reporting. Without those clauses you see only the outcome.

Do I need to come to the signing if I am not running the project?

A representative under a poder notarial can sign, but you check the property and the contract before issuing the power of attorney. What is better done in person is covered in the article on power of attorney versus a personal visit.

Who is responsible for renovation defects?

The LOE sets guarantee periods: one year for finishes, three years for defects affecting habitabilidad (habitability), ten years for the structure (art. 19). Whom you bring a claim against depends on who the promotor and the contractor under the contract are.

Does passive participation guarantee income?

No. In both formats the result is not guaranteed. A contractual compensation, where there is one, remains a term of the specific contract and is not equal to a guarantee of capital.
