Inherited flat in Barcelona: selling without losing relief or money

Inheritance, tax and registration come first, then the sale. Selling within five years can cancel the 95% relief, and a buyer withholds 3% of the price and plusvalía from a non-resident heir.

An inherited flat in Barcelona can be sold only after the inheritance is accepted, inheritance tax is paid and the flat is registered in the heir's name. The tax return is filed within six months of the death, and an extension of another six is requested in the first five months (ATC). The main trap for a sale: the 95% reduction on the deceased's main home is kept if the flat stays with the heir for five years.

The escritura de aceptación y adjudicación de herencia (deed of acceptance and allocation of the inheritance) is the notarial deed by which the heirs accept the inheritance and divide the property. Without it, and without an entry in the Registro de la Propiedad (Land Registry), the buyer and the notary will not see the seller as the owner.

The order of steps before a sale

The order is strict: each next document requires the previous one. You can list the flat for sale before registration, but signing the arras (deposit contract) is risky.

  1. The certificado de actos de última voluntad (certificate of last-will records), issued no earlier than 15 working days after the death (Ministerio de Justicia), then a copy of the will or a declaration of heirs.
  2. An NIE (foreigner's tax number) for each foreign heir.
  3. The inheritance tax return: six months from the death, an extension of six months with interest.
  4. Plusvalía municipal (municipal tax on the increase in urban land value) on inheritance is paid by the heir; the return is filed with the town hall within six months, on request within a year (art. 106 and 110 TRLRHL).
  5. The deed of acceptance before a notary and entry in the Registro de la Propiedad. What registration gives and how to check it is covered in the article on the Registro de la Propiedad.
  6. The documents for the sale and the sale itself; the list is in the article which documents are needed to sell.

Who pays inheritance tax and where

The place of filing depends on the residence of the deceased and of the heir. A non-resident heir files with the state AEAT but may choose the Catalan rules (ATC, administration).

DeceasedHeirWhere to fileWhose rules
Resident of CataloniaResident of SpainATCCatalonia's
Resident of SpainNon-residentAEATState or Catalan, by choice
Non-residentAnyAEATState, or those of the region where most of the assets are

Under the Catalan scale the tax runs from 7% on the first 50,000 € of the base to 32% on the part above 800,000 € (ATC, tariff). A child of the deceased over 21 deducts 100,000 € from the base, and for the deceased's main home a reduction of 95% of the value applies, up to 500,000 € for all heirs together and no less than 180,000 € for each (ATC, reductions). A comparison of regional rules for a foreign owner is in the article on inheritance tax.

Why selling in the first five years can cost money

The 95% reduction is final only if the flat stays with the heir for five years from the death. There is one exception: the entire proceeds of the sale go to buying the heir's own main home or to repaying its mortgage. If the rule is broken, an additional return is filed within a month and the tax is paid with interest (ATC).

Hence the question before the arras: which reduction was applied in the return and how many years have passed. The answer comes from the asesor fiscal (tax adviser) who calculated the tax, not from the buyer.

What a non-resident heir is left with: a worked example

Worked example, not a forecast. In the inheritance tax return the flat is valued at 380,000 €, and the costs of processing the inheritance are 6,000 €. A year and a half after the death it is sold for 420,000 €, with sale costs assumed at 14,000 €. The seller is a non-resident.

The buyer withholds 3% of the price on account of the seller's tax (art. 25.2 TRLIRNR) and, as a substitute taxpayer, pays the plusvalía on the seller's behalf (art. 106.2 TRLRHL). It is calculated here as an assumption on a cadastral land value of 60,000 €, a coefficient of 0.16 and the 30% rate, the maximum under art. 108. The gain is calculated from the value in the inheritance tax return (art. 36 LIRPF) and taxed at 19% (art. 25.1.f TRLIRNR).

Sale price420,000 €

Sale costs−14,000 €
Received at completion390,520 €

From 1 December 2026, Real Decreto-ley 29/2026 raises the maximum plusvalía coefficients, for example for a one-year period from 0.15 to 0.16 and for ten years from 0.12 to 0.22 (BOE). The specific coefficients are set by the town hall in its ordenanza (municipal bylaw). The Congress of Deputies has not yet validated the decree (as of 13 October 2026). If there is no increase in land value, plusvalía is not paid (art. 104.5 TRLRHL).

When a quick sale does not fit

A quick sale does not fit if the 95% relief was applied in the return and the money will not go to one's own main home: losing the relief can eat up the gain from the sale. It also does not fit when the heirs disagree: without the consent of all co-owners the flat cannot be sold, and a split through the courts or an extinción de condominio (termination of co-ownership) is discussed with an abogado (lawyer) before talking to buyers.

The flat can also be let before the sale, but from 15 November 2026 under Real Decreto-ley 28/2026, which the Congress of Deputies has likewise not yet validated, a main-residence lease after five years is extended for another five, and an owner's refusal, as a rule, costs the tenant compensation. The price to list at is better checked against closed transactions, which is done as part of a property valuation.

Questions and answers

Can I sell an inherited flat before the inheritance tax is paid?

No. Without the deed of acceptance and the entry in the Registro de la Propiedad the heir cannot transfer ownership, and the Registro does not make the entry without proof of payment of the taxes on that deed (art. 254 Ley Hipotecaria) and without the NIE of all participants.

How long is there to file inheritance tax in Catalonia?

Six months from the death. An extension of a further six months is requested in the first five months, and interest accrues for the extended period.

Will I lose the 95% relief if I sell the flat after two years?

Yes, if the money does not go to buying your own main home or repaying its mortgage. Then within a month an additional return is filed and the tax is paid with interest.

Why does the buyer withhold part of the price if the seller is a non-resident?

The law obliges the buyer to withhold 3% of the price on account of the seller's tax on the gain and to pay the plusvalía for them. The final tax is calculated in the seller's return, the withholding is credited and any excess is refunded.
