Selling a flat in Barcelona: stages, timing, money at the notary

Six stages of selling a flat in Barcelona: the Catalan rules on the deposit, the money at the notary for a non-resident seller and what changes in the plusvalía from 1 December 2026.

Selling a flat in Barcelona goes through six stages: documents, price, method of sale, the deposit contract, signing at the notary and taxes after the deal. The law sets two deadlines: the plusvalía return is filed with the town hall within 30 working days of the sale (art. 110 TRLRHL), and if the seller is a non-resident, the buyer withholds 3% of the price toward the seller's tax (AEAT, the Spanish tax agency).

What stages a sale consists of

Selling a flat is a chain of steps in which each rests on the documents of the previous one. The timing depends on the price, the condition and the neighbourhood, so nobody guarantees a schedule in advance, but the order is almost always the same.

  1. Documents before the listing. Escritura (deed), nota simple (land registry extract), energy certificate, cédula (habitability certificate), comunidad certificate, IBI receipts, a bank certificate of the outstanding mortgage. The full list is in the article which documents are needed to sell.
  2. Price. From closed transactions on similar flats, not from the neighbours' listings.
  3. Method of sale. On your own, through one agency under an exclusive contract, or through several under an open one.
  4. Arras. The arras (deposit) contract fixes the price, the deadline and the consequences of pulling out.
  5. Notary. Signing the escritura de compraventa (sale deed), settlement, handing over the keys.
  6. Taxes after the deal. Plusvalía municipal (municipal tax on the rise in land value) and tax on the gain: IRPF for a resident, IRNR for a non-resident.

If the flat is sold after renovation, the buyer will ask for the documents on the works, see the article documents after renovation.

How to set a price so the sale does not drag on

The price is set from closed transactions on similar flats in the same neighbourhood, adjusted for floor, lift, condition and view. Listings show sellers' expectations, not the price at which flats go.

It helps the seller to decide the floor price before the first viewing and not to move it under pressure of time. If viewings are happening but offers are not, the first thing to check is whether the price matches transactions. How much a renovation adds to the sale price is covered in the article how much a renovated flat sells for.

What matters in the arras under Catalan law

In Catalonia, by default the deposit confirms the deal and counts toward the price, and the right to withdraw in exchange for the deposit must be written in expressly (art. 621-8 Código civil de Catalunya). This differs from the familiar formula "the buyer loses it, the seller returns double".

If the parties have expressly agreed arras penitenciales (a deposit with a right to withdraw), a buyer who withdraws loses the deposit, and a seller who withdraws returns it doubled. Arras penitenciales for a term of up to six months, paid in front of a notary, can be noted in the register, and then the flat secures their return. The wording of the contract is checked by an abogado (lawyer): it determines whether the seller can get out of the deal if a buyer with a better price appears.

What happens to the money on signing day

At the notary the parties sign the escritura, the buyer pays the price and the seller hands over the keys. Out of the price the mortgage is usually repaid the same day, and if the seller is a non-resident, the buyer withholds 3% and pays it to the tax office on form 211.

Worked example, not a forecast. A non-resident seller, price 500,000 €, outstanding mortgage 150,000 €, agency commission 3% plus IVA (VAT) at 21% (assumption), plusvalía 2,500 € (assumption).

ItemAmountTo whom
Price under the escritura500,000 €From the buyer
Repayment of the mortgage−150,000 €To the seller's bank
3% withholding toward IRNR−15,000 €To the tax office, through the buyer
Plusvalía paid by the buyer for a non-resident seller−2,500 €To the town hall
Agency commission with IVA−18,150 €To the agency
To the seller's account314,350 €To the seller

The 3% withheld is not a tax but an advance: the final IRNR is calculated in the seller's return, and the difference is paid or refunded. How this works is covered in the article 3% withholding on a sale.

What taxes remain after the deal

After signing the seller has two taxes. The plusvalía municipal is payable by the seller, but if the seller is an individual and a non-resident, the buyer pays it in their place (art. 106 TRLRHL). The tax on the gain in value is paid by the seller: IRPF if a resident, IRNR if not.

In the plusvalía the limits on the coefficients for the objective method are changing. From 1 December 2026 the new maximums from article 10 of Real Decreto-ley 29/2026 apply (BOE). Congress has not yet validated the decree.

Holding periodMaximum until 30.11.2026Maximum from 1.12.2026
5 years0.180.19
10 years0.120.22
15 years0.090.11
20 years or more0.400.30

The coefficient itself is approved by the town hall in its ordenanza fiscal (local tax bylaw) within these maximums (art. 107.4 TRLRHL). If the town hall's coefficient is above the new maximum, the maximum applies; if the maximum has gone up, the town hall's coefficient does not change by itself. How this will affect a specific sale in Barcelona depends on the ordenanza and on the choice between the objective and the real method; details are in the article on the two plusvalía methods.

When the standard scheme does not work

It does not work if the flat is let: the tenant has 30 calendar days to buy it on the same terms after being notified of the price (art. 25 LAU, the Ley de Arrendamientos Urbanos), and the sale timetable shifts. It does not work if the inheritance has not been accepted and registered: that is processed first. It does not work if the flat belongs to a company: the sale of shares and the sale of the property are taxed differently, and that is a question for an asesor fiscal (tax adviser).

Questions and answers

How long does it take to sell a flat in Barcelona?

There is no single timeframe: it depends on the price, the condition and the neighbourhood. The deadlines within the deal are set by the arras and the buyer's bank schedule, and after signing the seller has 30 working days for the plusvalía return.

Can the seller pull out of the deal after the arras?

In Catalonia only if arras penitenciales are expressly written into the contract: then the seller returns the deposit doubled. Without such a clause the deposit counts as part of the price, and pulling out is treated as a breach of contract.

Can a flat be sold with the mortgage not yet repaid?

Yes. The balance is usually repaid out of the price on signing day, then the bank issues a zero-debt certificate and the mortgage entry is removed from the register.

What does the buyer withhold if the seller is a non-resident?

3% of the price toward the seller's IRNR, which the buyer pays to the tax office on form 211. The plusvalía for a non-resident seller is also paid by the buyer, so the parties agree its amount in advance.

Will the plusvalía change on a sale after 1 December 2026?

The maximum coefficients of the objective method change: for 10 years of ownership, 0.22 instead of 0.12; for 20 years or more, 0.30 instead of 0.40. The result depends on the town hall's ordenanza and the method chosen. Congress has not yet validated the decree.
