Sobre plano pre-sales: how they work for the investor
Off-plan selling runs on a private contract with instalments and cover for their return. A breakdown of the mechanics, the timings and what pre-sales change for a project's investor.
Sobre plano is the sale of a flat before construction is finished, where the buyer signs a private contract and pays instalments on a schedule, and the escritura (the notarial deed) is signed after the building is handed over. For a project's investor this is not free money: the return of the instalments is secured by a separate instrument, and they become confirmation of demand earlier than they become revenue. Pre-sales are possible once the project has a design with visado and a licencia urbanística (planning permission for the works) (art. 187 Llei d'urbanisme).
How a sobre plano transaction works
The order is always the same: reservation, private contract with a payment schedule, escritura after the occupancy permits.
| Stage | What is signed | What happens to the buyer's money |
|---|---|---|
| Reservation | document reserving a specific flat | a small amount against the price |
| Private contract | contract of sale of a future asset with a schedule | instalments on schedule, with cover for their return |
| Construction | stage certificates, changes by agreement | instalments arrive on schedule |
| Completion and occupancy | completion documents, cédula (fitness-for-habitation certificate), first occupancy | the balance of the price is settled |
| Escritura | notarial deed, registration | transfer of title and the final payment |
Pay attention to the nature of the deposit. In Catalonia, arras (a deposit paid on signing) are by default part of the price, and a right to withdraw against a penalty, arras penitenciales, has to be stated expressly (art. 621-8 Código Civil de Cataluña). What has been signed in your contract is read by an abogado (types of arras contract).
Every finished flat receives its own cédula de habitabilidad, whose validity for new housing is 25 years (Decret 141/2012, art. 9). The difference between the first occupancy licence and the cédula is covered separately.
Why cover for the instalments is needed
The buyer's money is paid in before the asset exists, so its return is secured independently of how the construction goes. In practice this is liability insurance, seguro de caución, or an aval bancario (a bank-issued undertaking) in favour of the buyers, tied to the project and to the amounts of instalments received. The requirement to secure the return of amounts paid in belongs to construction legislation (Ley de Ordenación de la Edificación); the specific provision, its version in force and its applicability to your project are confirmed by an abogado. I do not quote rates or limits here: they are set by the policy and the insurer (seguro de caución on buyers' instalments).
The second block of cover relates not to the instalments but to what has been built: LOE sets liability periods, one year for finishes, three years for defects affecting habitabilidad, ten years for the structure (art. 19). The ten-year cover is covered in the article on seguro decenal.
What pre-sales change for the investor
Four things, and none of them makes the project safer on its own.
- The exit price is tested earlier. If flats are not reserved at the stated price, that is visible before the whole construction budget has been spent.
- Part of the capital comes from buyers. This reduces the need for external financing, and with it the cost of money: the 12-month Euribor in September 2026 was 3.247% (Banco de España).
- Obligations are fixed in advance. Price, area, quality and handover date are written into the contracts, and they can no longer be changed in your favour.
- Costs of the cover are added. Policies, avales, accounting for instalments and reporting on every contract are a separate budget line, and the tax side of instalments is discussed with an asesor fiscal.
On a first transfer of housing with IVA (Spanish value added tax), AJD (stamp duty on notarial documents) at 1.5% is added to the transaction, and 3.5% where the IVA exemption is waived (ATC guide). Who pays and in which case: IVA or ITP.
How long pre-sales take
There is no single timeframe for Barcelona in open sources, and putting an invented sales rate into a model is pointless. There are two indirect references. On idealista data for Q2 2026, of the housing sold through the portal across Spain 7% spent less than a week on the listing, 19% from a week to a month, 27% from one to three months, 36% from three months to a year and 11% more than a year. On INE (ETDP), 73,260 housing sales were entered in the registries for Barcelona province from August 2025 to July 2026, roughly 6,100 a month, and in July 2026 there were 6,689 against 7,237 a year earlier.
The share of new flats in that volume is small: across Spain in July 2026, 78.4% of the flats bought were resale (INE, ETDP). Pre-sales compete for the buyer with finished housing that can be viewed and occupied straight away.
What a worked pre-sales plan looks like
Worked example, not a forecast. The number of flats, the prices and the shares are round assumptions of the example.
A building of 10 flats, a modelled price per flat of 600,000 €, modelled revenue of 6 M€. The plan: 3 flats sold sobre plano at the foundation stage, 4 during construction, 3 left for sale after handover. The instalment schedule under the private contract: 20% on signing, 20% at a stage, the balance on the escritura. On that scenario the project has received 40% of the price on seven flats in instalments by handover, that is 1.68 M€ out of 4.2 M€.
Shift the plan: 3 flats sold sobre plano rather than 7. Instalments bring in 720,000 €, the rest is covered by financing or by own capital, and the cost of money grows together with the term. So pre-sales are modelled in scenarios (financing construction as it progresses).
When pre-sales do not work
When the project has no licence: collecting money ahead of the permits is a legal risk, not an acceleration. When the price is too high: the absence of reservations only confirms it, and the time has already been spent. When the buyer of this product is not prepared to wait: in a market where most transactions are in resale housing, part of the demand does not consider buying before handover. And when a project counts on instalments as the main source of construction funding: the cover works in the buyer's favour, not the construction's.
The project stages and the order of handing over flats are covered in the article on the phases of a residential development, and the DNPI approach on the development page.
Questions and answers
What is sobre plano in simple terms?
Buying a flat before the building is built: a private contract, instalments on a schedule and the escritura after handover. Title passes at the end, not with the first payment.
Is the buyer's money protected in an off-plan purchase?
Construction legislation requires the return of instalments paid in to be secured, in practice through a seguro de caución or an aval bancario. The existence of the policy and its terms are checked by the buyer's abogado before signing.
Are pre-sales compulsory for a development?
No. They test the price and reduce the need for external money, but they add obligations and the cost of the cover. This is a management decision on the specific project.
Can you sell off plan without a licence?
New construction in Catalonia requires a prior licencia urbanística. What is permitted before it is obtained is a question for an abogado against the text of the specific rule.
What protection does the buyer get after handover?
The LOE liability periods: a year for finishes, three years for defects affecting habitabilidad, ten years for the structure. Plus the flat's own cédula, valid for 25 years for new housing.
