Buying a Flat With a Tenant: What Changes in the Calculation

A buyer of a flat with a tenant takes the landlord's place for the rest of the lease, and the tenant has a right to buy first. That changes both the timeline and the price in the calculation.

A flat with a tenant is bought together with the lease: under art. 14 of the Ley de Arrendamientos Urbanos (LAU, the Urban Leases Act) the buyer takes the landlord's place for at least the first five years of the tenancy, seven if the previous landlord was a legal entity. Those years run from the start of the lease, not from your purchase. The calculation gains three elements: a period when you cannot hold the flat empty, capped rent, and the tenant's right to buy the flat first.

How long you will have to live with the tenant

The rules below follow the consolidated text of the LAU on the BOE as worded on 12.10.2026, taking into account Real Decreto-ley 29/2026 (in force since 8.10.2026). Congress has not yet validated that decree, so the rules cannot be treated as settled. Real Decreto-ley 28/2026 changes art. 10 from 15.11.2026. The law counts terms from the start of the lease.

RuleWhat it saysWhat it means for you
Art. 14The buyer continues the lease during the first 5 years from its start, 7 years if the landlord is a legal entityThe flat will not be empty during this period
Art. 14 (longer lease)If the lease runs longer, the buyer is bound by all of it, but if the buyer meets the requirements of art. 34 of the Ley Hipotecaria (Mortgage Act) they tolerate the tenant only up to 5 (7) years, and the seller pays the tenant compensationYou need an abogado (lawyer): the type of lease and the land registry entry change the outcome
Art. 9.1A lease shorter than 5 (7) years is extended annually up to that minimum, and the tenant may leave on 30 days' noticeIt is the tenant, not you, who may stay until the minimum
Art. 10.1After the minimum, if nobody gives notice, the lease runs for up to 3 more years (the landlord gives 4 months' notice, the tenant 2)The notice has to be sent in time
Art. 10.2 and 10.3A tenant in a vulnerable situation may request one more year, and for a gran tenedor (large property holder) it is mandatory; in a stressed-market zone the tenant may request an extension of up to 3 yearsThe term may grow by one year or by three
Art. 10.1 from 15.11.2026 (RDL 28/2026)The lease is extended by 5 (7) years, the landlord gives 6 months' notice and usually pays compensationTransitional rules depend on the end date of the lease, a question for the abogado

Recovering the flat for your own residence under art. 9.3 is possible only for an individual, after the first year of the lease and only if that need is stated in the lease from the very start.

The tenant's right to buy the flat first

Unless the tenant has waived this right, they may buy the flat ahead of you. Under art. 25 LAU the seller must notify the tenant of the price and terms, the tenant has 30 calendar days to exercise tanteo (right of first refusal), and if the procedure is breached the tenant may bring a retracto claim (right to take over the sale after the fact) within 30 days of receiving a copy of the escritura (notarial deed). The Registro de la Propiedad (Land Registry) will not accept the title for the sale of a let flat without proof of the notices (art. 25.5). Under RDL 29/2026 the right cannot be waived in advance (art. 25.8), and a notice for a bulk sale must state the price attributable to the flat and lapses after 180 days. Before 8.10.2026 a waiver was permitted, and which wording applies to a specific lease is for the abogado to decide.

The practical conclusion: before paying a deposit, request proof of the notice or the text of a waiver signed earlier. Without them you risk losing the flat after signing. The seller needs a separate check: if it is a legal entity on the gran tenedor register and the flat is in a stressed-market zone, then under Ley 11/2025 (art. 6) the Generalitat may exercise tanteo and retracto (more on tanteo y retracto).

What happens to the rent

Rent is capped from two sides. Updates during the lease are tied to the anniversary date and under art. 18.1 LAU as worded by RDL 29/2026 may not exceed the change in the IRAV index; the earlier wording referred to the IPC. In a stressed-market zone a new lease cannot set rent above the last rent in force during the previous five years (after annual indexation), with a surcharge of up to 10% only in the cases named in art. 17.6. How the cap works in Barcelona is covered in the article on the stressed-market zone. For the calculation this means income grows no faster than the law allows, and when the tenant changes in a stressed-market zone it is limited to the last rent.

How to adjust the price calculation

The longer the lease binds you, the lower the price compared with an empty flat: you receive rental income but postpone the day you can sell or use the property empty.

Worked example, not a forecast. Assumptions: an empty flat is worth 500,000 €, net rent after IBI (property tax), comunidad (owners' association charges) and insurance is 12,000 € a year, discount rate 5%. The price with a tenant equals the present value of N years of rent plus the value of the empty flat sold after N years.

Remaining leaseCalculated price with tenantDiscount to an empty flat
2 years475,800 €4.8%
3 years464,600 €7.1%
4 years453,900 €9.2%
5 years443,700 €11.3%

This is not a market price but a way to see the order of magnitude; the actual discount depends on the district, the rent and investor demand for let properties. If you also sell the flat with the tenant at exit, the buyer will apply the same logic to you.

What to request before the deposit

  • the lease with all annexes and the start date, the term and renewal conditions;
  • proof of the fianza (security deposit) and its deposit in the Catalan fianza register (Ley 13/1996); how the deposit obligations pass to the buyer is for the abogado to decide;
  • payment history and a certificate of arrears;
  • proof that the tenant was notified, or the text of their waiver if there is one;
  • the seller's status: individual, legal entity, gran tenedor.

Checking tenants and the rent roll is described in detail in the article on tenant verification.

When buying with a tenant does not suit

For flipping it is almost always a stop: renovating and selling an empty flat within the project timeline is impossible while the tenant may stay. It does not suit those who need a vacant flat by a set date, nor those who expect to raise rent above the cap. A scenario for a specific property can be sketched in the investor calculator; legal questions about the lease go to the abogado.

Questions and answers

Can the lease be terminated after buying the flat?

As a general rule no: under art. 14 LAU you continue the lease for the remaining term. Exceptions depend on the type of lease and the registry entries, a question for the abogado.

What is the tenant's right of first purchase?

The right to buy the flat on the same terms within 30 days of the notice (art. 25 LAU). If no notice was given, retracto applies.

Can I raise the rent after buying?

Only within the law: an update on the anniversary no higher than the IRAV index (art. 18 LAU as worded by RDL 29/2026), and in a stressed-market zone separate limits apply under Ley 12/2023.

What should I check about the tenant before the deal?

The lease, payments, the deposit and, above all, the term of the lease and its start: that determines how many years the flat will be occupied.
