Tenanted Commercial Property in Barcelona: How to Value It
A tenanted property is valued as two assets: the walls and the lease in force. The price rests on the lease term, indexation, the tenant's rights on a sale and the full cost of entry.
A tenanted commercial property in Barcelona is valued as a bundle of two assets: the walls and the lease in force. The price rests on how long the tenant is bound to pay, on rent indexation, and on what the lease says about sale and exit. The yield in the listing is read last: first the lease, then the calculation on the full entry cost.
What you are buying: the walls and the lease
A buyer of a leased non-residential property generally steps into the former landlord's position: art. 29 of the Ley de Arrendamientos Urbanos (LAU, the Urban Leases Act) provides that the acquirer takes over the landlord's rights and obligations (subrogación). The exception concerns a buyer who meets the requirements of art. 34 of the Ley Hipotecaria (the Mortgage Act). For that buyer, a lease that is not entered in the registry may turn out not to be binding. Do not build a valuation on this when buying "with a tenant": you are paying for that very lease and its rent. How the exception would work in a specific deal is for an abogado to say.
A non-residential lease is governed by the will of the parties and, failing that, by Título III LAU (art. 4.3). For local units (ground-floor commercial premises), the law sets no minimum term, no automatic renewal and no cap on rent increases. What is not in the lease is not protected, and this is where non-residential leasing differs sharply from residential.
Which lease terms move the price
| Term | What the law gives if the lease says nothing | What to ask |
|---|---|---|
| Term and tenant's exit | No minimum term | How many years remain, whether the tenant can leave earlier and at what penalty |
| Rent indexation | None automatic | Index, review date, whether there is a cap |
| Fianza (deposit) | Two months' rent (art. 36 LAU) | Whether it was paid and whether it was deposited with Incasòl |
| Assignment and subletting | A tenant running a business may assign the lease without the landlord's consent; the landlord receives +10% or +20% of the rent (art. 32) | Whether the lease restricts this |
| Pre-emption right | Tanteo within 30 days, then retracto (arts. 31 and 25); art. 25 has been reworded since 8.10.2026, see below | Whether the tenant has been notified of the sale, and whether the unit is sold separately or as a package |
| End of the lease | Under the conditions of art. 34: moving costs and loss of clientele, or one year's rent for each year of the lease, up to a maximum of 18 | Whether the tenant qualifies under these conditions, and what the lease says about exit |
In Catalonia the deposit is paid to the Institut Català del Sòl within two months of signing, a requirement of Llei 13/1996. A non-residential tenant gets the right of tanteo y retracto (first refusal and buy-back) through art. 31 and art. 25 LAU. Until 8 October 2026, art. 25.7 excluded it where all the premises in a building were sold as one package, and art. 25.8 treated a waiver of it as valid in leases longer than five years. Real Decreto-ley 29/2026 (BOE-A-2026-20823, in force since 8 October 2026, not yet validated by the Congress) rewrote art. 25: the right is kept on a package sale, and the tenant's waiver of it is prohibited. The text of art. 25 is written about vivienda (housing), and I cannot say how it works for a local through art. 31, or whether the rule will survive validation. That is a question for an abogado, and the tanteo and retracto risk should be built into the deal timetable. The end of the lease and the indemnity for clientele are covered in a separate article on traspaso and art. 34.
Which documents to request before arras
- Nota simple (land registry extract): who the owner is, whether there are encumbrances, whether the lease is entered in the registry.
- The lease with all annexes and side agreements, including letters on discounts and rent-free periods.
- Payment orders for the last 12–24 months: rent, IVA, indexation.
- Proof of the fianza and its deposit.
- The tenant's accounts and details of its business.
- The licence for an activity that matches the premises, and a current IBI receipt.
- Written confirmation from the tenant of the term, the rent and the absence of disputes, as described in the guide to rent roll and estoppel.
What entry costs: a worked example, not a forecast
The calculation is for a property priced at 1.2 M€ with a tenant paying 4,000 € a month. Assumptions: the seller is not a business, or the sale is exempt from IVA, so ITP is paid; other closing costs are 15,000 €; the owner's costs (IBI, insurance) are 3,600 € a year.
| Line | Amount, € |
|---|---|
| Price | 1,200,000 |
| ITP on the Catalan scale (10% up to 600,000, 11% up to 900,000, 12% up to 1,500,000, 13% above) | 129,000 |
| Other closing costs (assumption) | 15,000 |
| Full entry cost | 1,344,000 |
| Annual rent | 48,000 |
| Owner's costs | 3,600 |
| Net operating income (NOI) | 44,400 |
Annual rent over price gives 4.0%, NOI over price 3.7%, and NOI over the full entry cost 3.3%. The ITP scale has applied since 27 June 2025 and covers non-residential property too, according to the ATC. If the deal is subject to IVA (standard rate 21%, art. 90 LIVA), the calculation is different. The second and later supplies of a building are exempt from IVA (art. 20.Uno.22 LIVA), but the seller may waive the exemption in favour of a buyer who pays IVA. For deals where the exemption was waived, the ATC gives an AJD rate of 3.5% (ATC news item of 27 June 2025). Which regime applies to your deal is for an asesor fiscal (tax adviser) to decide.
The cost of a vacancy: if the tenant leaves and a new one is found nine months later, 36,000 € of rent is lost, three quarters of a year's income. The costs of an empty unit are covered in more detail in the article on the vacant local.
What the market shows
In its High Street Spain 2026 report (press release of 15 June 2026), Cushman & Wakefield puts the rent on Passeig de Gràcia at 290 €/m² a month, Barcelona vacancy at 2.49% and the yield at about 3.65%. That is the top of the market, the best streets, not a typical unit. For secondary streets and districts I found no open comparable figures with a date, so none are given here. How to calculate the cap rate for a specific property is described in a separate article.
Who should not buy this way
Buying with a tenant is not suitable if you have a single tenant and the lease is short: any departure turns an "income property" into an empty one. It is also not suitable for someone who expects prime-street yields on a property in a courtyard, or who is not ready to read the lease and request documents before arras.

Questions and answers
Can I buy a property with a tenant and terminate the lease straight away?
As a rule, no: you enter the lease on its terms. The landlord may terminate it on the grounds of art. 35 LAU, for example for non-payment of rent or fianza, but not because the owner has changed.
Does the seller have to notify the tenant of the sale?
As a general rule, yes: art. 31 LAU applies art. 25 to non-residential leases. The seller notifies the tenant of the price and terms, and the tenant has 30 days for tanteo. Without notification, retracto remains. The caveats arising from RDL 29/2026 are described above, and an abogado should check them.
Who pays IVA on the rent of a non-residential property?
The tenant pays the rent plus 21% IVA, and the landlord passes the tax to the state. The exemption in art. 20.Uno.23 LIVA applies to housing, not to commercial premises.
Is a registry extract enough to find out about the lease?
No. The registry will show the lease only if it was entered there, and entry is not mandatory. The lease, annexes and payment records are requested from the seller.
