Dividing a Whole Building: How División Horizontal Works

A building is divided by an escritura pública listing each apartment and its cuota. Division bears AJD at 1.5%; in the worked example ITP at 20% on the whole building eats almost all the price gap.

In Catalonia a building is divided into apartments through a título de constitución: an escritura pública (notarial deed) in which the owner describes the building, each apartment and its share (cuota) of the common property. The regime begins on signing, and the Registro (land registry) opens a separate folio for each apartment. The division itself bears AJD (stamp duty on legal documents) at 1.5%, but the tax on buying the whole building has to be calculated before the price. The rules were checked as of 12 October 2026.

What división horizontal is and who can set it up

Propiedad horizontal (horizontal property) is a regime in which an apartment owner holds the apartment alone, and the staircase, façade and roof jointly with the others (art. 553-1 Book V of the Civil Code of Catalonia). In Catalonia it is governed by a separate chapter of that Code.

The regime may be set up by the owners of the building at the moment the título is signed (art. 553-8). The building is subject to the regime from that moment, even if construction is not finished (art. 553-7). Tenants' consent is not mentioned in these articles, but their contracts do not go away: more on that below.

What the escritura must contain

The escritura must contain six blocks (art. 553-9.1), and without them the document is not valid:

  1. A description of the whole building: whether it is finished, and what common elements and services it has.
  2. A description of each apartment: serial number, cuota, usable area, floor, boundaries, purpose, attached spaces (storage room, parking).
  3. A plan of the building.
  4. Estatutos (the community's bylaws), if any.
  5. Reservations of the developer's or founders' rights, if any.
  6. Possible subcomunidades (sub-communities).

If the building has not yet been declared, a declaration of obra nueva (new construction) is needed in the same deed or an earlier one (art. 553-9.3). The Registro makes one general entry for the building and a separate folio for each apartment (art. 553-9.4).

Which documents are needed for obra nueva and what may fail

To declare a finished obra nueva the notary requires a technical certificate of conformity with the project, documents showing the requirements for handing the building over to users have been met, and administrative permits for use and energy efficiency (art. 28 of Real Decreto Legislativo 7/2015). The registrador (registrar) checks the same.

There is also a general rule on dividing fincas (registered properties): each resulting part must meet the requirements of the law and the urban plan (art. 26.2 of the same act). How it works for the división horizontal of a particular building is decided by the arquitecto and the registrador, and in practice it means checking before the offer whether each apartment will receive a cédula de habitabilidad (habitability certificate) and whether the building needs a licence or a comunicación (notification). On licensing regimes see the article on obra nueva and rehabilitation. A question for the arquitecto and the abogado (lawyer).

How cuotas are calculated

A cuota is expressed as a percentage of the whole building and set in proportion to area, adjusted for purpose, position and other physical and legal features (art. 553-3.2). It can be changed only unanimously or through the courts (art. 553-3.3). Worked example, not a forecast: 24 apartments, 1,800 m², calculated by area only.

TypeArea, m²ApartmentsOne cuota, %Total, %
A5082.77822.22
B75124.16750.00
C12546.94427.78

The shares of costs and votes in the comunidad (owners' community) depend on the cuota, so an error in it is expensive to fix: everyone's consent is needed.

What the division costs and what happens with the purchase tax

The division bears AJD at 1.5%, and the base is the sum of the value of the obra nueva and the value of the plot (ATC, notarial documents). The notary, the registry and the technician are paid separately.

The purchase tax weighs more on the economics. If one person buys the whole building, ITP (property transfer tax) on the residential part is 20%, with or without division into apartments (ATC, ITP rates). More: ITP 20% for gran tenedor and whole buildings.

Worked example, not a forecast. The building price is 10 M€ for 1,800 m² (5,556 €/m²), the whole building residential; an assumed apartment price of 6,800 €/m²; the AJD base for the division taken as 10 M€.

ItemAmount, €
Apartments individually (1,800 m² × 6,800)12,240,000
Building price−10,000,000
Difference before costs2,240,000
ITP 20% on purchase−2,000,000
AJD 1.5% on division−150,000
Remainder90,000

The remainder still has to cover the notary, the registry, renovation, sale and holding the building. To cover ITP and AJD alone, the sum of the apartments must exceed the building price by 21.5%. The division itself creates no value: permitted use, renovation and time create it.

What is hard to change after the first sale

A clause in the título that leaves the founder the right to change the título alone is void (art. 553-9.5). After that, any changes go through the junta (owners' meeting), except the cases in art. 553-10.2: for example, merging and dividing apartments if the estatutos say so, or changing an apartment's purpose if the estatutos do not forbid it.

That is why the estatutos are written before the first apartment is sold. Provisions allowing apartments to be merged and divided without the junta's consent are permitted (art. 553-11.2), and a right to add storeys is valid only with a separate reservation (art. 553-13.3). Agreeing this later with neighbouring buyers is harder. The order of consents is described in the article on the comunidad de propietarios.

Who division does not suit

It does not suit you if you plan to sell the building to a single buyer: the 20% ITP applies to that buyer with or without division, and the division only adds costs. It does not suit you if tenants remain in the building and you counted on "clean" apartments: the term of their contracts is set by the LAU, not by the ownership regime. And it does not suit you if the check has not yet shown that each apartment can obtain a cédula.

Next step

Estimate the difference between the building and the sum of the apartments, with taxes, in the investor calculator, then assemble the building documents from the list in the article on checking a building for a large buyer.

Questions and answers

How much does división horizontal cost in Catalonia?

AJD is 1.5% of the sum of the value of the obra nueva and the plot. The notary, registry and architect are paid separately, and their amounts depend on the building and the tariffs.

Is the tenants' consent needed to divide a building?

Art. 553-8 gives the right to set up the regime to the building's owners and does not mention tenants' consent. The division does not terminate lease contracts. A specific case is confirmed by an abogado.

Can the cuotas be changed later?

Only by a unanimous decision of the owners or through the courts (art. 553-3.3). That is why the cuota calculation is checked before the escritura is signed.

Can a building be divided without renovation?

If the building is already built, the existing apartments are divided, but each must obtain a cédula and conform to the plan (the general rule of art. 26.2 Real Decreto Legislativo 7/2015 on dividing fincas). The architect checks this before signing.
