Exiting an Apartment Building Project: Buyers and Timelines
A finished building is bought by end buyers, a single investor or a rental operator. Each pays its own tax and sets its own timeline: in the example from six months as a block to two years at retail.
Selling a building to an investor, a rental operator or end buyers of apartments gives three different exits. The group determines the tax (IVA 10% or ITP 20%), the form of the deal (the building or the shares of a company) and the timeline: in the worked example six months for a block and 24 months at retail at one apartment a month. The rules were checked as of 12 October 2026.
Three groups of buyers
| Buyer | What they buy | Buyer's tax | What they expect |
|---|---|---|---|
| End buyers | Individual apartments | IVA 10% and AJD 1.5% on the first sale after rehabilitación | Cédula, a clean registry, the building's ITE |
| A single investor | The whole building | IVA 10% and AJD 1.5% or ITP 20% | A document package, rent roll, a price with a clear discount |
| Rental operator | The whole building or a portfolio | The same; IVA is not recovered on lettings | Stable net income and compliance with rent rules |
Rates: IVA (Spanish VAT) on housing under art. 91 Ley 37/1992, ITP (property transfer tax) at 20% on the residential part of a whole building held by one buyer (ATC) and AJD (stamp duty on legal documents) at 1.5% (ATC). Which regime results depends on how the works ended. RDL 29/2026 (art. 7, from 1.12.2026, not validated) introduces 4% IVA on the purchase of housing by a company that lets it under the regime of art. 48–49 Ley 27/2014; this is not included in the calculation. More in the article on choosing between retail and a block.
How a rental operator sets the price
The operator pays net income divided by yield. According to Cushman & Wakefield, the net yield of prime PRS (private rented sector) in central Barcelona is 4.10% and of the best decentralised assets 4.40% (MarketBeat Spain Living, Q2 2026, in Spanish). The sensitivity is simple. If the yield falls from 4.40% to 4.15%, the building price rises by 6.0%. If it rises to 4.65%, the price falls by 5.4%, and at 5.15% it falls by 14.6%. A quarter of a point of yield weighs the same as a 6% discount.
There are few buyers: the five largest investors hold 40% of the BTR and PRS market in Spain, and in the first half of 2026 BTR and PRS deals came to €2.6bn (C&W). Some buyers of blocks sell the apartments one by one, that is, they take the retail branch themselves. These buyers price the first rent with the cap under the reference price index in mind, as in the article on build-to-rent.
Selling a building to an investor: the building or the shares of a company
Selling the company instead of the building does not remove the tax. A sale of shares is exempt from IVA and ITP (art. 338 Ley 6/2023), but the law presumes tax avoidance if the buyer obtains control (over 50%) of a company where at least 50% of assets are Spanish real estate not linked to a business activity; the presumption can be rebutted. A rental company without its own organisation may fall under it: whether the property is linked to a business activity is decided by an asesor fiscal (tax adviser). A sale of a rental business as a single going concern is outside IVA only if it is a self-standing economic unit with an organisation of resources, and a "simple transfer" of assets does not count (art. 7.1 Ley 37/1992). Each structure is checked by an asesor fiscal.
The exit calendar
Worked example, not a forecast. Retail pace of 1 apartment a month, a block closing in 6 months (assumptions from the calculation in the article on choosing the form).
| Stage | Timeline | Basis |
|---|---|---|
| Cédula for an apartment | 30 working days with a complete package | Decret 141/2012, art. 16, per the 2012 text |
| Generalitat's answer on tanteo | up to 2 months, plus 15 days if inspected | Generalitat |
| Filing the ITE report with the Agència | up to 4 months after the report is closed | Generalitat |
| Block closing | 6 months | calculation assumption |
| Selling 24 apartments | 8 months at 3 a month, 24 at 1 | calculation assumption |
The statutory timelines run in parallel with the sale, but they push it back if they are started late: cédulas are requested in advance, before listing.
What must be ready before the exit
A building is ready for exit when there are no documents the buyer will demand later. The minimum: a cédula (habitability certificate) for every apartment, closed certificates of completion of works, the seguro decenal (ten-year insurance) in place, a valid ITE report (mandatory building inspection), an up-to-date rent roll and a reconciliation of the registry with the cadastre. The schedule and payments for works are described in the article on renovating a building in phases.
When this exit does not suit
A block exit does not suit you if a building with tenants has to sell at the price of an empty one: the operator will deduct the wait and the risk of a dispute (see a building with tenants). Retail does not suit you if you need an exit on a single date.
The DNPI Capital model: DNPI's fee is 50% of the project's profit, and the other half stays with the investor. If the investor's return over the whole project, after distribution, is below the contractual 10%, DNPI pays compensation out of its own fee. This is a return per project, not per year; the terms, calculation base and limits are set by the contract for the specific project; it does not guarantee the preservation of capital. DNPI has no completed projects involving whole buildings; the completed ones are the plot in Sitges and the apartment on Compte de Urgel, so this is a method, not a result.
Next step: estimate the exit and its timing in the investor calculator.
Questions and answers
Who buys apartment buildings in Barcelona?
End buyers of apartments, a single investor for the whole building, and rental operators. In Spain the BTR and PRS market is narrow: the five largest investors hold 40% (C&W, second quarter 2026).
Can a company that owns a building be sold without paying ITP?
Not always. A sale of shares is exempt, but if the buyer obtains control of a company where real estate outside business activity makes up 50% of assets, the law presumes avoidance and the tax comes back until the presumption is rebutted (art. 338 Ley 6/2023).
How long does a block sale of a building take?
In our calculation, 6 months. That is an assumption. The law adds the cédula (30 working days), tanteo (up to 2 months) and preparing the ITE.
What does a rental operator pay for a building?
Net income divided by yield. A quarter of a point of yield changes the price by about 6%.
