Buying an Apartment Building in Barcelona: the Logic from 10 M€
An apartment building is priced from a scenario, not from €/m²: who lives there, what is allowed and which tax the buyer pays. In the worked example, ITP at 20% on 10 M€ costs 730,000 € more.
Buying an apartment building in Barcelona from 10 M€ makes sense when the price is derived from what will be done with the building, not from the price per square metre. Three things are worked out before an offer: who lives in the building, what will be allowed to be built or divided, and which tax the buyer will pay. Everything else is refined once there is an indicative price. The rules below were checked as of 12 October 2026.
What are you buying: four different assets at one address
A building with tenants, an empty building, a building for redevelopment and a building to be divided into apartments differ not in the renovation but in where the value comes from.
| Scenario | What drives the value | Main risk | More detail |
|---|---|---|---|
| Building with tenants | Rental income and the time to vacate | Contracts that cannot be terminated | vacating timeline |
| Empty building for redevelopment | Budget and works schedule | Licence and hidden defects | redevelopment stages |
| Division into apartments | Gap between the building price and the sum of the apartments | Protected-housing quota, tanteo | propiedad horizontal |
| Renting out | Regulated rent | Rent cap in a stressed-market zone | build-to-rent |
It is sensible to pick one main scenario and one fallback rather than build all four into the model at once.
Which rules change the calculation before the offer?
The size of the purchase itself changes the buyer's status. Under Ley 12/2023 (art. 3.k), a gran tenedor (large holder) is an owner of more than ten urban residential properties or more than 1500 m² of residential floor area. For a stressed-market zone the threshold is lower: in Barcelona it is five or more properties (resolution of the Secretaría de Estado de Vivienda of 14.03.2024, reflecting Resolució TER/800/2024 of the Generalitat). Under RDL 29/2026 (art. 4, in force since 8.10.2026, not yet validated by the Congreso) each apartment in a building counts as a separate property, even without división horizontal (division into separately owned units). After buying a building with five or more apartments, the buyer becomes a gran tenedor under the housing law.
The tax consequence is serious. According to the ATC (Agència Tributària de Catalunya), ITP (transfer tax) has been calculated on a 10–13% scale since 27.06.2025, but 20% applies when a whole building is bought by a single buyer and when a gran tenedor buys housing. For ITP, gran tenedor status is assessed before the transaction, so the purchase of the building does not create it, yet 20% applies anyway, under the TEH code for a whole building. The rate applies to the residential part: the proportional share of common elements and premises of another use is taxed by the ATC on the general scale. The exceptions are narrow: social developers and non-profit organisations, premises for a head office or workplace, and housing for the buyer's own residence. More on the rate: ITP 20% for gran tenedor.
The second rule works on the seller's side. If the seller is a legal entity and a gran tenedor entered in the Registre de grans tenidors, the Generalitat may use tanteo and retracto (rights of first refusal and buy-back) on the sale of any of its apartments in a stressed-market zone (art. 6 of Llei 11/2025, DOGC no. 9574 of 31.12.2025; the rule first appeared in Decret-llei 2/2025). Sales of new apartments and of apartments after gran rehabilitación (major renovation) within a year of the cédula de habitabilidad being issued are not covered. Whether it applies to the sale of a whole building as a single lot is not expressly addressed in the text, and the register's regulations under the law are still to come. These are questions for an abogado (lawyer) before signing.
The third rule concerns redevelopment and division. In Barcelona, under the PGM (general metropolitan plan) modification in force since 14.12.2018, 30% of the sostre (floor area) of new construction and full refurbishment is allocated to protected housing if the project exceeds 600 m² of sostre, as the Ajuntament describes it. The calculation and its consequences are in the article on the VPO quota.
Separately: RDL 29/2026 (art. 1, in force since 8.10.2026, not yet validated) restricts the purchase of housing by gran tenedor legal entities at a price below 70% of an independent appraiser's valuation (BOE). A purchase at market price is not caught by this; the rule is not included in the calculation.
Tax on entry: a worked example
The building price is 10 M€, the whole building is residential, and the tax is calculated as ITP (not IVA, Spanish VAT). For comparison: the ordinary ATC scale would give 1.27 M€ (12.7%), while the 20% rate gives 2 M€. The difference of 730,000 € is 7.3% of the price, so the regime is established before the price, not after. Worked example, not a forecast: the IVA regime, exceptions and the make-up of the buyer change the result, and the calculation is done by an asesor fiscal (tax adviser).
What DNPI has and what it does not
DNPI Capital takes apartment buildings from 10 M€. DNPI's fee is 50% of the project's profit; the other half stays with the investor. If the investor's return over the whole project, after distribution, is below the contractual 10%, DNPI pays compensation out of its own fee. This is a return per project, not per year; the terms, calculation base and limits are set by the contract for the specific project; it does not guarantee the preservation of capital.
DNPI has no completed projects involving whole buildings. The completed ones are the plot in Sitges and the apartment on Compte de Urgel. That is why this article describes a method, not a result. Renovation and construction on projects are carried out by BCNYARD, SLU, an independent construction company working as a contractor under a contract.
Who this purchase does not suit
It does not suit anyone who needs predictable current income: rent in Barcelona is regulated, and the cash flow may turn out smaller than the model expects. It does not suit those who are not ready for two to three years before exit either: the licence, the tenants and the redevelopment stretch the project out. If your capital is below the threshold, look at the residential strategy.
Next step: run the deal through the investor calculator with the 20% tax and without it, then assemble the package for the building check.
Questions and answers
From what amount does it make sense to buy a whole building?
DNPI Capital considers apartment buildings from 10 M€. For smaller amounts there are other directions: residential property, commercial property, land plots.
Does the buyer of a building automatically become a gran tenedor?
With more than ten residential properties or more than 1500 m² of residential area, yes, under art. 3.k of Ley 12/2023. In Barcelona the threshold is five properties (TER/800/2024). For ITP the status is determined before the transaction, but a whole building bought by one buyer is taxed at 20% anyway.
Can the 20% rate be avoided?
It depends on the regime of the transaction and the buyer's status. The ATC exceptions are narrowly drawn, and the decision is made by an asesor fiscal on the specific facts.
Is a building with tenants cheaper?
The seller's discount for tenants does not automatically cover the cost of waiting: while the apartments are occupied, the capital is not working. Compare the outcome after vacating, not the discount at entry, see the vacating timeline.
