Exit Plan A/B/C: Sale, Letting or a Pause
Plans A, B and C describe three exits: sale, letting and a pause. Each has its own trigger, monthly cost and legal limits. What letting does to a future sale and how to switch between plans.
The A/B/C exit plan describes three routes chosen in advance: A, a sale at the target price; B, letting as a fallback; C, a pause with control of costs. Each has a trigger, a monthly cost and legal limits. A fallback plan is written before time and money run out, because switching between plans in Barcelona is slower and more expensive than it seems: letting changes the buyer's rights, and a pause is paid for by the owner.
What plans A, B and C consist of
The general exit strategy is covered in the article on the exit before buying. Here are the fallback routes and the switching conditions.
| Plan | Trigger | What to check | Cost per month |
|---|---|---|---|
| A. Sale | Closed deals on comparable properties are not below the project's threshold | Documents for the buyer, see documents after renovation | Holding costs |
| B. Letting | No offers above the threshold price within a preset period | The letting regime, the rent cap, the tenant's rights | Holding costs minus rent |
| C. Pause | The market, the law or financing require waiting | Loan term, insurance, the condition of an empty property | Holding costs and the cost of capital |
What letting does to a future sale
Letting does not just bring rent: it constrains the buyer. The rules of the LAU (Ley de Arrendamientos Urbanos, the urban lettings law) as worded in the BOE on 12 October 2026:
- Contract term: five years, and seven years if the landlord is a legal entity (art. 9.1).
- The buyer steps into the contract: he takes on the landlord's rights and obligations for the same five or seven years (art. 14).
- The tenant has a right of first refusal (art. 25). Under RDL 29/2026 it cannot be waived in the contract (art. 25.8 as newly worded); under the earlier wording a waiver was possible, and the seller then notified the tenant of the sale 30 days ahead.
- In a stressed-market zone the new rent cannot exceed the last rent for that dwelling over five years, with indexation, with small exceptions (art. 17.6). Barcelona has been in the zone since 16 March 2024; under art. 18 of Ley 12/2023 the declaration of the zone lasts three years and may be extended annually, that is until March 2027 if no extension decision is taken.
A caveat here. RDL 29/2026 was published on 7 October 2026 and applies from 8 October, but as of 12 October Congress has not validated it: the previous decree with the same title, RDL 26/2026, was repealed by Congress on 2 October. A separate RDL 28/2026 repeats RDL 27/2026, repealed the same day, and from 15 November 2026 changes art. 10 LAU: if after the mandatory term neither party has given notice of non-renewal, the contract is extended for five years, and for seven if the landlord is a legal entity; a landlord who refuses to extend, as a general rule, pays the tenant an indemnity. If these provisions hold, letting as route B will become noticeably longer. The calculation is therefore made on the worst wording. Which costs more: letting or a pause
A worked example, not a forecast. A property with a sale price of 900,000 €, 700,000 € invested (3% a year, an assumption), holding costs 2,500 € a month. A pause costs 2,500 + 1,750 = 4,250 € a month. Rent of 3,000 € a month reduces the monthly cost to 1,250 €, so over a year letting saves 36,000 € against a pause.
But a contract of five to seven years goes into the sale price: the buyer takes the tenant together with the property. If the buyer demands a discount of more than 4% (36,000 / 900,000) for the tenant, letting has lost to the pause over the year. What discount the market accepts for a property with a tenant has to be learned from agents on the specific street; I found no universal figure.
How to switch between plans
- Write down the price threshold below which plan A does not apply, and the period in which it is checked.
- Set the trigger for moving to B or C as a number: for example, no offers at the threshold price within three months on the market.
- Before moving to B, check whether the property is ready for letting: the cédula de habitabilidad and the energy efficiency certificate (see cédula), the contract regime, the owner's taxes. Which type of contract is permitted is determined by an abogado (lawyer).
- Set a term for pauses. A pause with no end date turns into holding the property.
- If you return to plan A after letting, the sale will go by the rules of arts. 14 and 25.
How this relates to DNPI's terms
DNPI's fee is 50% of the project's profit. The contractual 10% relates to the whole project, not to a year: the longer the pause or letting, the lower the annual return on the same 10%. DNPI's contractual compensation is paid out of its fee, the limits and procedure are written in the project contract, and it is not a guarantee of capital. Ask before signing who has the right to move the project from sale to letting or a pause, and when, and how the costs and the result are then counted.
Who it does not suit: someone who needs capital back by a fixed date, especially if the fallback exit plan is a five-year lease. You can run your own scheme through the investor calculator.
Questions and answers
Can I let an apartment if it does not sell?
You can, but letting constrains the future sale: the buyer takes the contract for the remaining term, and the tenant has a right of first refusal. In a stressed-market zone a rent cap applies. The terms are checked by an abogado.
How much does it cost to hold an empty apartment while waiting for a buyer?
Holding costs plus the cost of frozen capital. In the example above, 4,250 € a month; your property will have different figures, and the formula is in the article on the costs of a vacant property.
Which is better instead of a sale: a long let or a short-term let?
The regime for short-term lets in Catalonia has changed several times, and licences for tourist accommodation in Barcelona are planned to be extinguished by November 2028; more in the article on the ban on tourist licences. If you are considering this route, check the rule on the date of the contract.
How long can a pause be held?
There is no single term. It is set by the loan term, the costs and the threshold at which the pause stops paying off. The end date of the pause is written into the plan in advance.
